Numbat Math Terms of Use

1. The agreement

These Terms of Use (the "Terms") are a legal agreement between you and Yousef and Sanad LLC d/b/a Numbat Math ("we," "us," or "our"), a limited liability company registered in Texas. By creating a Numbat Math account, installing the Numbat Math iOS app, or paying for a Numbat Math subscription, you agree to these Terms. If you do not agree, do not use the service.

Your use of the service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Who can use Numbat Math

Numbat Math is a parent-managed service. To use it, you must be:

• At least 18 years old (or the age of majority in your state).
• A resident of the United States. We do not offer Numbat Math outside the U.S.
• The parent or legal guardian of any child whose profile is added to the account.

A child cannot create an account on their own. The parent signs up, adds a child profile, and remains the account holder and operator at all times.

3. Your account

You are responsible for keeping your login credentials confidential and for any activity under your account. If you suspect unauthorized access, change your password and email us at support@numbatmath.com.

You agree to provide accurate information at signup and to keep it current.

4. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Numbat Math iOS app on any Apple-branded device that you own or control, for the personal, non-commercial use of you and the children listed on your account. This license is governed by Apple's Licensed Application End User License Agreement (the "Apple Standard EULA") at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/, except where the present Terms add or modify its provisions.

What you may not do

• Copy, modify, reverse-engineer, decompile, or attempt to derive source code from the app, except as expressly permitted by applicable law.
• Rent, lease, lend, sell, sublicense, or transfer the app or your account to anyone else.
• Use the app to harass, abuse, or harm another person, or to violate any law.
• Use any automated system (bots, scrapers, etc.) to interact with the app.
• Bypass or attempt to bypass any access controls, paywalls, or rate limits.
• Use the AI tutor explanation feature for any purpose other than helping a child understand a math problem inside the app.

5. Subscriptions

Numbat Math offers the following purchase options through the Apple App Store. All prices are in U.S. dollars and exclude any applicable taxes.

How auto-renewable subscriptions work

For the Monthly and Annual plans:

• Payment is charged to your Apple ID account at confirmation of purchase.
• Your subscription automatically renews at the end of each billing period unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the price of the plan you selected.
• You can manage your subscriptions and turn off auto-renewal at any time by going to your Apple ID account settings on your device (Settings → your name → Subscriptions). Cancellations take effect at the end of the current billing period.
• If a free trial is offered and you choose to use it, any unused portion of the free trial period will be forfeited when you purchase a subscription, where applicable.

How the Summer Pass works

The Summer Pass is a one-time, non-renewing purchase. It grants access from the purchase date through September 30 of the same year, after which access ends automatically. No charge will be made beyond the initial $29.99. To continue using Numbat Math after September 30, purchase a new Summer Pass the following year or subscribe to Monthly or Annual.

Price changes

If we change the price of a subscription, we will notify you in advance and you will be asked to confirm the new price before it takes effect. Continuing your subscription after the change means you accept the new price; declining means your subscription will not renew at the next period.

Refunds

All purchases are processed by Apple. Refund requests are handled by Apple and are subject to Apple's refund policy. To request a refund, visit https://reportaproblem.apple.com. We do not control whether Apple grants a refund.

Cancellation

You can cancel an active subscription at any time via Settings → your name → Subscriptions on your iOS device. Cancellation takes effect at the end of the current billing period; you retain access until then. No partial refunds are given for unused portions of the current period.

6. The AI tutor

When a child gets a math question wrong and asks for help, the app calls a large-language-model AI tutor (currently Anthropic's Claude) through our backend to generate an explanation. You acknowledge that:

• AI-generated explanations are educational aids, not a substitute for a human teacher or tutor.
• The AI may occasionally produce inaccurate or unhelpful explanations. The underlying math curriculum, questions, and correct answers are authored by humans and are not AI-generated.
• Anthropic may change, suspend, or discontinue access to its API at any time. If that happens, the explanation feature may be temporarily unavailable.

What we send to Anthropic and what we never send is described in detail in our Privacy Policy.

7. Intellectual property

Numbat Math, including the app, the questions, the explanations, the user interface, the artwork, the "N" mark, the name "Numbat Math," and the website at numbatmath.com, is owned by Yousef and Sanad LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, publicly display, or create derivative works from any part of Numbat Math without our prior written permission, except as expressly allowed by these Terms or by applicable law (e.g., your own child's practice within the app).

8. Feedback

If you send us suggestions, ideas, or feedback about Numbat Math, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without compensation or attribution to you.

9. Disclaimer of warranties

NUMBAT MATH IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT THE APP WILL IMPROVE ANY PARTICULAR CHILD'S MATH PERFORMANCE OR GRADES.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL YOUSEF AND SANAD LLC OR ITS MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF NUMBAT MATH, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF NUMBAT MATH WILL NOT EXCEED THE AMOUNT YOU PAID US FOR NUMBAT MATH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

11. Indemnification

You agree to defend, indemnify, and hold harmless Yousef and Sanad LLC and its members, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of Numbat Math, or your violation of any third party's rights.

12. Apple-specific terms

You acknowledge and agree that these Terms are between you and Yousef and Sanad LLC, not with Apple, and that Apple is not responsible for Numbat Math or its content. Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you (if any); to the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the app.

You and Yousef and Sanad LLC acknowledge that Apple is a third-party beneficiary of these Terms and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

You represent and warrant that (i) you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist-supporting" country, and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.

13. Termination

You may stop using Numbat Math at any time. You may also delete your account at any time via Settings → Delete account in the app. Deletion is immediate and permanent (see the Privacy Policy, Section 6).

We may suspend or terminate your access to Numbat Math at any time, with or without notice, if we believe you have violated these Terms, abused the service, or created a risk or legal exposure for us or other users. If we terminate your account for cause, no refund will be issued; if we terminate it without cause, we will refund the pro-rated unused portion of an active auto-renewing subscription.

14. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify active parent accounts by email at least 14 days before the change takes effect, and update the "Last updated" date at the top of this page. Minor edits (typos, clarifying wording) may be made without notice.

If you continue using Numbat Math after a material change takes effect, you accept the updated Terms. If you do not accept them, stop using the service before the change takes effect.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or Numbat Math is the state and federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of those courts.

Nothing in this section limits any non-waivable consumer rights you may have under the laws of your state of residence.

16. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding Numbat Math, superseding any prior agreement on the subject.
• Severability. If any part of these Terms is held invalid or unenforceable, the rest will remain in effect.
• No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
